Terms of Service

1. Agreement to terms

By accessing or using Sapian Metrics (the "Service"), operated by Nomad Inno Ltd ("we", "us", or "the Company"), you agree to be bound by these Terms of Service. If you do not agree, you may not use the Service. These terms constitute a legally binding agreement between you and Nomad Inno Ltd. The Service is intended exclusively for businesses and professionals acting in a business capacity (B2B). By registering, you confirm you are acting on behalf of a company or as an independent professional.

2. Definitions

• "Service" refers to the Sapian Metrics platform, including the website, dashboards, APIs, audit tools, and any related services.
• "User" or "you" refers to any individual or entity accessing or using the Service.
• "Subscription" refers to a paid plan that grants access to the Service's features.
• "Content" refers to prompts, brand information, URLs, reports, and any data you create or upload within the Service.

3. Account registration

To use certain features of the Service, you must create an account. You agree to provide accurate, current, and complete information, and to keep your credentials secure. You are responsible for all activity that occurs under your account, including actions taken by team members you invite. One account represents one legal entity. Agency users are responsible for their team members' actions. If you suspect unauthorised access, notify us immediately at hello-bongu@nomadinno.com.

4. Subscriptions and billing

Certain features of the Service require a paid Subscription. Prices are displayed on our website in euros and exclude applicable VAT (reverse-charge applies for EU B2B customers with valid VAT number). Current pricing: Company plans at €55/month (Starter), €110/month (Plus), and €220/month (Pro). Agency plans at €200/month (Essential), €400/month (Growth), and €800/month (Scale). Annual billing is available with a discount equivalent to two free months. Billing is processed by Stripe.

Subscriptions renew automatically at the end of each billing cycle (monthly or yearly) unless cancelled before the renewal date. You may cancel your subscription at any time from your account settings. Cancellation takes effect at the end of the current billing period. When downgrading, excess brands are frozen (deactivated, not deleted) until you remove them or upgrade. No refunds are issued for partial billing periods.

We reserve the right to change pricing with at least 30 days' notice. Price changes will apply at the start of your next billing cycle.

5. Free trial

We may offer a free trial period on selected plans. During the trial, you can access the Service's features without charge. A valid payment method is required. If you do not cancel before the trial ends, your subscription will automatically convert to a paid plan at the applicable rate.

6. Acceptable use

You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable laws or regulations.
• Audit or monitor websites you do not own or do not have authorisation for. URLs submitted must belong to your configured brand websites.
• Use the platform to generate spam, misleading content, or to manipulate AI engine responses.
• Attempt to reverse-engineer, decompile, scrape, or otherwise access the source code of the Service.
• Resell, sublicense, or redistribute access to the Service without our prior written consent.

7. Intellectual property

All intellectual property rights in the Service, including but not limited to software, design, trademarks, and proprietary metrics (PAWC, C-SOV, LTB), are owned by Nomad Inno Ltd. Nothing in these Terms grants you ownership rights in the Service.

You retain ownership of the Content you submit to the Service. For AI-generated content (markdown files, prompt suggestions, analysis reports): you receive a perpetual, non-exclusive license to use the outputs. Sapian Metrics does not claim ownership of AI-generated outputs. AI outputs are not guaranteed to be original or free of third-party intellectual property.

8. Data and privacy

Your privacy matters to us. Our collection and use of personal data is governed by our Privacy Policy, which forms part of these Terms. By using the Service, you confirm that you have read and understood our Privacy Policy.

9. Service availability

We aim to provide a reliable, high-availability Service, but we do not guarantee uninterrupted or error-free operation. We may perform scheduled maintenance, during which the Service may be temporarily unavailable. We will endeavour to provide advance notice of planned downtime.

10. Limitation of liability

AI engine responses are third-party content: Sapian Metrics is not responsible for their accuracy. Monitoring metrics (C-SOV, PAWC, LTB) are statistical estimates derived from querying third-party AI systems; they do not reflect actual market share, consumer sentiment, or business performance. Generated markdown is a starting point, not a production-ready deliverable. We do not guarantee that following audit recommendations will improve AI engine rankings. To the maximum extent permitted by applicable EU and Maltese law, Nomad Inno Ltd shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service. Our total aggregate liability shall not exceed the amounts paid by you to us in the 12 months preceding the claim.

11. Termination

We may suspend or terminate your access to the Service at any time if you breach these Terms, with or without prior notice. You may delete your account at any time from Settings. Account deletion cascades: your profile, brands, monitoring data, audits, and team members are all removed. Data is retained in backups for 30 days after deletion and then permanently purged. You may request export of your data before deletion.

12. Governing law and jurisdiction

These Terms are governed by and construed in accordance with the laws of Malta. Any disputes arising from or relating to these Terms or the Service shall be submitted to the exclusive jurisdiction of the courts of Malta, without prejudice to your rights under the GDPR or other applicable EU consumer protection regulations.

13. Changes to these terms

We may modify these Terms from time to time. When we make material changes, we will notify you via email or a prominent notice on our website at least 30 days in advance. Your continued use of the Service after the effective date of any changes constitutes acceptance of the updated Terms.
